Terms of Service

1. Acceptance of the terms
These Terms of Service ("Terms") govern access to and use of the agency.adsativos.com website, the other domains and subdomains operated by Ads Ativos, and the contracting of the services provided byAds Ativos, FULL LEGAL ENTITY NAME, registered under CNPJ No.00.000.000/0001-00, headquartered atFULL ADDRESS ("Ads Ativos", "we").
By browsing the website, filling in forms, booking a meeting or contracting any service, you declare that you have read, understood and fully accepted these Terms. If you do not agree with any provision, do not use the website or contract the services.
These Terms do not replace the specific service agreement that may be signed between the parties. In case of conflict, the specific agreement prevails over these Terms.
2. Definitions
- Client: the legal entity that contracts Ads Ativos' services.
- Platforms: third-party digital media providers, such as Meta Platforms, Google, TikTok, Snapchat, Pinterest and X Corp.
- Assets: ad accounts, profiles, business managers, pixels, domains and other resources used in the media operation.
- Agency accounts: ad accounts provisioned through Ads Ativos' partnership structure with the Platforms.
- Media budget: amounts allocated by the Client to pay for ad delivery on the Platforms, separate from Ads Ativos' fees.
3. Purpose and services
Ads Ativos is an independent advertising technology company and media infrastructure consultancy. Our services include, according to the scope contracted:
- Provisioning and management of agency accounts on the Platforms;
- Infrastructure audit and asset compliance diagnosis;
- Structuring of contingency, redundancy and recovery for media assets;
- Performance consulting and direct response campaign management;
- Dedicated technical support during the term of the agreement.
The exact scope, deadlines, service levels and fees applicable to each Client are defined in a commercial proposal and a specific agreement.
4. Eligibility
The services are intended exclusively for legal entities, in a business-to-business (B2B) relationship. By contracting, you represent and warrant that:
- You are over 18 years old and fully legally capable;
- You have the authority to represent and bind the contracting legal entity;
- The registration information provided is true, complete and up to date;
- The operation to be advertised is lawful and complies with applicable legislation and with the Platforms' policies.
As this is a business-to-business relationship, entered into as an input to the Client's economic activity, the parties acknowledge that consumer protection legislation does not apply to this engagement.
5. Registration and verification
Contracting is subject to an onboarding process that includes registration verification and review of the Client's operation, offers and landing pages. Ads Ativos may, at its discretion and without any obligation to justify,reject proposals or halt onboarding for operations that present compliance risk, signs of illegality or incompatibility with the Platforms' policies.
The Client is responsible for safeguarding and keeping confidential the credentials used to access the assets, and is liable for all activity carried out with them. Unauthorized access must be reported immediately.
6. Client obligations
The Client undertakes to:
- Fully comply with the advertising policies, terms of use and community guidelines of each Platform;
- Ensure that the ads, creatives, landing pages, offers and claims published are truthful, lawful and not misleading;
- Hold all rights and licenses over the materials provided — including images, videos, trademarks and copy — and be liable for any infringement of third-party rights;
- Maintain the legal bases and privacy notices required by data protection law in relation to its own leads' and consumers' data;
- Provide, in good time, the information and approvals required to deliver the services;
- Make payments within the agreed deadlines and conditions.
7. Prohibited conduct
The Client is expressly prohibited from using the services and assets provided by Ads Ativos to:
- Advertise products, services or offers prohibited by law or by the Platforms' policies;
- Engage in cloaking, landing page concealment, or any technique intended to circumvent the Platforms' review systems;
- Run scams, fraud, pyramid schemes, false income promises or unsubstantiated medical claims;
- Sell, assign, sublease or transfer assets to third parties;
- Infringe third-party intellectual property, image, personality or privacy rights;
- Reverse engineer, copy or reproduce Ads Ativos' proprietary methodology, documentation and materials.
Consequences of a breach. Confirmation of any of the conduct above entitles Ads Ativos to immediately suspend the assets and terminate the agreement for cause, with no right to a refund and without prejudice to claims for damages. The Client remains fully liable to the Platforms and to third parties for damages arising from its conduct.
8. No affiliation with the platforms
Ads Ativos is an independent ad technology platform and media infrastructure consultancy. We hold no corporate affiliation, exclusive commercial partnership, legal representation or direct official endorsementfrom trademark-holding entities, including Meta Platforms Inc., Alphabet Inc., TikTok Corp., Snapchat Inc., Pinterest Corp. or X Corp.
The use of logos, software names and network mentions is strictly informational, intended to outline technical compatibility within the ecosystem. This site is not part of Google Inc. or Facebook Inc.
The Platforms are independent third parties and may, at any time and at their sole discretion, change policies, suspend accounts, restrict delivery or modify spending limits —decisions over which Ads Ativos has no control.
9. No guarantee of results
Ads Ativos' services constitute an obligation of means, not of result. We apply the best technical practices available, but we do not guarantee:
(i) the approval, maintenance or unrestricted status of any account or asset; (ii) the absence of blocks, bans or rejections by the Platforms; (iii) any volume of sales, revenue, return on investment, cost per acquisition or performance metric; (iv) the recovery of previously blocked assets.
Any figures, projections, case studies or results from other clients presented on our website or in meetings areillustrative and do not constitute a promise or guarantee. Results depend on factors outside our control, including the offer, the product, the market, the budget invested and the Platforms' decisions.
10. Pricing and payment
Amounts, billing frequency and payment method are those defined in the commercial proposal accepted by the Client. Unless expressly stated otherwise:
- Ads Ativos' fees do not include the media budget, which is the Client's sole responsibility;
- Late payment subjects the Client to a 2% penalty and late payment interest of 1% per month, plus monetary adjustment;
- Default exceeding 15 days entitles us to suspend the services and assets until the situation is remedied;
- Amounts paid for services already delivered arenon-refundable, unless the agreement provides otherwise;
- Taxes levied on the transaction will be borne as provided by applicable legislation.
11. Suspension and termination
Ads Ativos may suspend or terminate access to the services, in whole or in part, upon notice to the Client, in the following cases:
- Default on financial obligations;
- Breach of these Terms or of the specific agreement;
- Any conduct prohibited under section 7, in which case suspension may be immediate and without prior notice;
- A determination by a competent authority, a court order or a Platform requirement;
- Imminent risk to the integrity of the infrastructure or to other clients.
12. Intellectual property
All website content — trademarks, logos, copy, layout, source code and materials — as well as the methodology, processes, technical documentation and frameworks developed by Ads Ativos are its exclusive property or that of its licensors, protected by intellectual property legislation.
Contracting the services does not transfer any intellectual property right to the Client, granting only a limited, non-exclusive, non-transferable and revocable license of use, restricted to the term of the agreement and to the purposes set out therein.
Creatives, trademarks and materials provided by the Client remain its property. The Client authorizes Ads Ativos to use them to the extent necessary to deliver the services.
13. Confidentiality
The parties undertake to keep confidential all confidential information they access by reason of the contractual relationship — including performance data, campaign structures, methodologies, suppliers, pricing and strategic information.
The confidentiality obligation remains in force for5 years after the end of the agreement and does not apply to information in the public domain or whose disclosure is required by law or court order.
14. Limitation of liability
To the maximum extent permitted by applicable law, Ads Ativos' total liability for any losses related to the services is limited to theamount actually paid by the Client to Ads Ativos in the 3 (three) months preceding the event giving rise to the claim.
Ads Ativos is not liable for:
- Lost profits, loss of opportunity, indirect damages or reputational harm;
- Unilateral decisions by the Platforms, including blocks, bans, ad rejections or changes to policies and limits;
- Media budget consumed by campaigns delivered;
- The content of the Client's ads, offers and landing pages;
- Unavailability of third-party services, connectivity failures or events of force majeure and acts of God.
The Client undertakes to hold Ads Ativos harmless from third-party claims arising from its operation, its advertising content or the data processing under its responsibility.
15. Term and termination
These Terms remain in force for as long as access to the website or delivery of the services continues. The specific agreement may be terminated:
- By either party, without cause, upon30 days prior notice;
- For cause, immediately, in the event of a breach not remedied within10 days of notification.
Once the relationship ends, the right to use the assets provisioned by Ads Ativos ceases. The confidentiality, intellectual property, limitation of liability and jurisdiction clauses survive the end of the agreement.
16. General provisions
Ads Ativos may amend these Terms at any time by publishing the updated version on this page with a new update date. Material changes will be communicated to active Clients through the registered contact channels. Continued use of the services after publication implies agreement.
Tolerance of a breach of any obligation does not imply novation or waiver of rights. The eventual nullity of one clause does not affect the validity of the others. The Client may not assign its contractual position without Ads Ativos' prior written consent.
The parties are independent contractors. Nothing in these Terms creates an employment, corporate, agency or representation relationship between them.
17. Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of the Federative Republic of Brazil.
The courts of the District ofCITY/STATE are elected to settle any disputes arising from these Terms, with express waiver of any other, however privileged it may be.
